SiteSupra Solution Provider Agreement. 

This SiteSupra Solution Provider agreement is between Vide Infra Grupa, SIA, hereinafter referred to as "Vide Infra" and the business entity hereinafter referred to as SiteSupra Solution Provider, "SP", or  "Provider", identified in the contact details box attached.  

Vide Infra will provide you the SiteSupra Solution Provider kit and status after considering your enquiry and in the case you accept Provider Responsibilities and agree with terms of this agreement. 

The terms: 

1.      Provider Kit

1.2  Free licenses for every supported SiteSupra product that will be supplied to SP during the term of the agreement. These product licenses are granted for SP's domain name and should be used only for project development needs.

1.3  One (1) free commercial license of SiteSupra VCS.

1.4  The right to use special partner pricing if applicable.

1.5  The access to product Beta versions and the rest of development material made available for partners.

1.6  Appropriate listing at all SiteSupra partner related materials.

1.7  The right to use official SiteSupra partner logo and name. 

2.      Provider Responsibilities:

2.1  It will make its best endeavor to contribute to SiteSupra development and popularity through providing its clients with the most comprehensive SiteSupra solutions and participating in SiteSupra Developer Community.

2.2  Upon possibility, provide Vide Infra with information on finished SiteSupra-based projects.

2.3  It will make its best efforts to prevent the unauthorized duplication and distribution or use of the SiteSupra products.

2.4  It shall not hold itself out as an agent or legal partner of Vide Infra and not attempt bind Vide Infra to any third party agreement.

2.5  It warrants that the representative of SiteSupra Solution Provider who have signed (or otherwise indicated acceptance of) this agreement, electronically or otherwise, are the authorized representative of SiteSupra Solution Provider duly empowered to act on behalf of the SP. 

3.      Term and termination.

3.1  The agreement shall take effect on the effective date and shall continue till either of the parties decides to discontinue the agreement by delivery of thirty (30) calendar days' prior written notice. Neither party shall be responsible to the other for any costs or damages resulting from the termination of this agreement. 

4.      No implied or statutory warranties.

4.1  Vide Infra provides SiteSupra materials "AS IS" and "AS AVAILABLE" and the entire risk as to the satisfactory quality, performance, accuracy, and effort is with the SiteSupra Solution Provider. Any warranties must be delivered with the license agreement.  

5        Exclusion of incidental, consequential and other damages.

5.1  In no event shall Vide Infra be liable for any special, incidental, punitive, consequential, indirect damages or losses whatsoever arising out of or in any way related to SiteSupra materials, even if Vide Infra has been advised of the possibility of such damages, and even in the event of fault.
